AUCTA TERMS OF SERVICE
Version 1.0 · In force from 12 October 2026 · Final
Aucta is a software platform for live sellers, available at getaucta.app and getaucta.com (together with its tools, apps and related services, the "Service"). The Service is owned and operated by CaptaFlow LLC, a Maryland limited liability company doing business as Aucta ("Aucta," "we," "us" or "our").
These Terms of Service (the "Terms") are a binding agreement between you and CaptaFlow LLC. By creating an account, clicking "I agree" or otherwise using the Service, you accept these Terms and our Privacy Policy on behalf of yourself and the business you operate through the Service, and you confirm you have authority to do so. If you do not agree, do not use the Service.
Please read Section 15 carefully. It requires disputes to be resolved by binding individual arbitration rather than in court, and waives class actions and jury trials. You may opt out within 30 days as described there.
Please also read Section 10. Aucta provides software and data. It does not provide financial, investment, legal or tax advice, and it does not guarantee that you will make money.
1. ELIGIBILITY AND ACCOUNTS
1.1 Who may use Aucta. You must be at least 18 years old and able to form a binding contract. The Service is for business use by people who sell, or are learning to sell, products through live-selling platforms and other channels. It is not intended for personal, household or consumer use.
1.2 One business, one owner. Each Aucta account represents one business and has one owner. The owner is responsible for the account, for everyone who uses it, and for all charges on it. We may let an owner add other users to the account in future; the owner remains responsible for their activity.
1.3 Accurate information. You agree to give accurate, complete information when you register and to keep it current. We may suspend an account whose information is false or out of date.
1.4 Security. Keep your login credentials confidential. You are responsible for all activity under your account until you tell us at support@getaucta.com that it has been compromised. Sessions expire after a period of inactivity for your protection.
1.5 Program and membership access. Some users receive Aucta access through a training program, community or membership operated by a third party (a "Program"). Your access through a Program depends on your standing in that Program, and your account may be suspended if your Program membership ends. The Program operator is not a party to these Terms and does not control the Service; your relationship with Aucta is with CaptaFlow LLC directly, and it continues on these Terms if your Program access ends and you choose to subscribe directly. The Program operator may see your account status and summary usage information so it can support you and manage membership, as described in our Privacy Policy; it does not see your inventory, costs or sales records unless you ask us to share them.
1.6 Account states. An account is active, suspended or closed. A suspended account keeps its data for thirty (30) days but cannot use the Service; if it is not reactivated within that time it is closed automatically. A closed account is deleted as described in Section 14.
2. THE SERVICE AND YOUR LICENCE
2.1 Licence. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your own business during your subscription.
2.2 Restrictions. You may not: (a) sell, rent, sublicense, share or resell access to the Service or your account; (b) copy, modify, reverse-engineer or create derivative works of the Service; (c) scrape, crawl, bulk-export or use automated means to extract data from the Service beyond the export features we provide; (d) use the Service, or data obtained from it, to build or train a competing product, dataset or model; (e) circumvent credit metering, rate limits, access controls or security measures; (f) use the Service on behalf of a third party without our written consent; or (g) remove any proprietary notice.
2.3 Changes. We improve the Service continuously and may add, change or remove features, limits and integrations at any time. We will give at least thirty (30) days' notice of changes that materially reduce the core functionality of a paid plan. We do not switch off a feature for all users because of cost; features with per-use costs are metered through credits instead.
2.4 Support. Support is provided by email at support@getaucta.com and through in-app help. We do not promise a response time but aim to respond within two business days.
2.5 Beta features. Features marked beta, preview or early access are provided for evaluation, may change or be withdrawn without notice, and are excluded from any service commitment.
2.6 Usage records. Our records of your account activity, credit usage and purchases are the authoritative record for billing and disputes, absent clear error. Tell us within 30 days of a charge if you believe it is wrong.
3. PLANS, CREDITS AND BILLING
3.1 Plans. The Service is offered on plans described at getaucta.com/pricing. A plan may be free or paid, monthly or yearly, and may be included in a Program. Each plan includes a monthly allowance of credits and access to a set of features. We may change plan prices and contents on at least 30 days' notice; changes take effect at your next renewal.
3.2 Credits. Features with per-use costs (for example AI, data lookups and comps) are metered in credits. Your plan allowance resets at the start of each billing cycle and does not roll over. You may buy additional credits in the packs and at the prices shown in the Service (the per-credit price of additional credits may be higher than the per-credit value of your plan); additional credits are used after your plan allowance, expire at the end of the billing cycle in which they are bought, and are not refundable once bought except as required by law. Credit prices for each feature are shown in the Service and may change on notice. When your credits run out, metered features pause for your account until the next cycle or until you buy more; the rest of the Service keeps working.
3.3 Seller of record. Purchases of plans and credits are sold by the seller of record named at checkout and on your receipt. The seller of record is currently The Mick Vault LLC, a Florida limited liability company, which sells Aucta plans and credits under the name "Aucta" through a payment account dedicated to the Service. CaptaFlow LLC provides and operates the Service, is your contracting party under these Terms, and administers that payment account. The seller of record acts on CaptaFlow's behalf for sales only and is not a provider or co-operator of the Service. We may change the seller of record, including to CaptaFlow LLC, on notice to you; the change does not affect your plan, your credits or these Terms.
3.4 Payment. Payments are processed by Stripe. By providing a payment method you authorize the seller of record to charge it for your plan at each renewal and for credits you buy, plus applicable taxes. If a payment fails we may retry it, and we may suspend paid features after seven days of non-payment until it is settled.
3.5 Automatic renewal and cancellation. Paid plans renew automatically at the end of each billing cycle at the then-current price until you cancel. You may cancel at any time in your account settings, with the same ease as you subscribed, and cancellation takes effect at the end of the current cycle. We send renewal reminders for monthly and yearly plans as the law requires, and always before a yearly plan renews.
3.6 Refunds. Plan fees are not refundable for partial cycles. Credits already used are not refundable. If we end the Service or permanently remove a feature you have paid for, we will refund the unused portion of any prepaid plan fee and the price paid for unused additional credits. Nothing in this Section limits refund rights you have under applicable law.
3.7 Taxes. Prices exclude sales and similar taxes, which the seller of record collects where required.
3.8 Trials and promotions. We may offer free trials, promotional credits or discounts on terms stated at the time of the offer. Promotional credits have no cash value and expire as stated.
3.9 Chargebacks. Contact us before disputing a charge with your bank; most billing issues are resolved in a day. If you charge back a valid charge, we may suspend your account until it is resolved and recover the charge, the dispute fee and our reasonable costs.
3.10 Refund and Cancellation Policy. Our Refund and Cancellation Policy restates Sections 3.5 and 3.6 in plain terms and is part of these Terms.
4. YOUR CONTENT AND DATA
4.1 Your content. "Your Content" means the inventory records, costs, sales and show data, photos, files, notes, goals and other material you add to the Service or that the Service imports for you from a platform you connect. You own Your Content.
4.2 Licence to operate the Service. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, process, display, reproduce and transmit Your Content as needed to provide, secure and improve the Service for you.
4.3 Pooled market data. Part of what makes Aucta valuable is market intelligence drawn from real sellers. As part of the consideration for the Service, you also grant us a perpetual, irrevocable licence to use Your Content in de-identified and aggregated form, together with other users' data, to produce statistics, benchmarks, price estimates, trends and other market data ("Market Data"), and to use and display Market Data in the Service and in our other products. De-identified means we remove account identifiers, business and personal names, usernames, contact details and any buyer information before pooling, except the hashed buyer identifiers used only for the high-value buyer mark described in Section 4.4. Market Data never identifies you, your business or your individual transactions, and we do not publish any statistic drawn from fewer than three sellers. Market Data belongs to us.
4.4 Your responsibilities. You are responsible for Your Content: that you have the right to add it, that it is accurate enough for your own decisions, and that it does not infringe anyone's rights or break any law. We do not review Your Content for accuracy. Figures you enter (costs, prices, quantities) drive the numbers the Service shows you, so wrong inputs produce wrong outputs. Reports you upload from selling platforms may contain your own customers' usernames, names and shipping addresses. We discard names and street addresses at import and do not store them. We keep buyer usernames only in a keyed-hashed form we cannot read back, with purchase totals and state, so the Service can show you repeat and high-value buyers. You also permit us to use those hashed identifiers, combined with other sellers' reports, to mark whether a buyer is a high-value buyer across the Aucta community; that mark is shown to hosts only as a tier, during a live show, and never reveals a buyer's purchases with you to any other seller. You confirm you are permitted to upload the report, and you are responsible for complying with the privacy rules of the platform it came from.
4.5 Export and deletion. You may export Your Content in the formats the Service provides at any time while your account is active. When your account is closed, we delete Your Content within thirty (30) days, except for data we must keep by law, data already incorporated into Market Data under Section 4.3, and routine backups that are overwritten in the ordinary course.
4.6 Privacy. Our Privacy Policy explains what personal information we collect and how we handle it. If these Terms and the Privacy Policy conflict about personal information, the Privacy Policy controls.
5. MARKET DATA, COMPS AND THE AI COACH
5.1 What comps and estimates are. The Service shows price estimates, comparable sales, sell-through and similar figures built from third-party data sources, public listings, Market Data and our own models. They are estimates of what items have sold or listed for elsewhere. They are not appraisals, valuations, offers to buy, or predictions of what you will get for an item, and they can be wrong, stale or incomplete. Make your own buying and pricing decisions.
5.2 Third-party data. Some data in the Service comes from third-party providers under licence. That data is theirs, is provided as they supply it, may be subject to their terms and attribution, and may be changed or withdrawn by them at any time. You may use it only inside the Service for your own business and may not extract, republish or resell it.
5.3 Product lookups and scanning. Barcode, image and catalogue lookups match against external databases and can return the wrong product or no product. Check the match before you rely on it.
5.4 The AI coach and other AI features. The Service includes features powered by artificial intelligence, including a coach that answers questions about live selling and features that generate text, descriptions and images. AI output is generated automatically from patterns in data, is not reviewed by a person before you see it, and can be inaccurate, incomplete or inappropriate. It is general information, not advice tailored to your situation, and it is not a substitute for your own judgment or a qualified professional. You are responsible for checking AI output before acting on it or publishing it, including listing descriptions and images, and for complying with the rules of any platform where you use it.
5.5 AI inputs. We send your prompts, and the context the feature needs, to our AI providers to generate output. We instruct providers not to use your inputs to train their models. Do not enter sensitive personal information about other people into AI features.
5.6 Ownership of AI output. As between you and us, you may use the AI output generated for your account for your business. We do not guarantee that AI output is original or that similar output will not be generated for others.
5.7 Fee, tax and profit calculations. Profit, margin, pace and goal figures in the Service are computed from the costs and prices you enter and from platform fee rates, shipping estimates and tax assumptions that we try to keep current but that platforms change without notice. They are estimates for planning, not accounting records. Verify fees with your selling platform and keep your own books.
5.8 Availability. AI, lookup, comps and other metered features depend on third-party providers and may be slowed, rate-limited or unavailable at times. Credits are not charged for a request that fails.
6. THIRD-PARTY PLATFORMS AND SERVICES
6.1 Not affiliated. Aucta is an independent product. It is not affiliated with, endorsed by or sponsored by Whatnot, TikTok, eBay, Amazon, Skool or any other platform, marketplace or data source mentioned in the Service. Their names and marks belong to them.
6.2 Connected platforms. The Service may let you connect a selling platform, import its reports, or export files formatted for it. Your use of that platform is governed by its own terms, and you are responsible for complying with them, including any rules on automated access, listings, fees and data. If a platform changes or withdraws an integration, the related features may stop working and we are not liable for that. Files the Service generates for upload to another platform (such as inventory or listing exports) are prepared from Your Content; review them before you upload them, and you are responsible for what is published on that platform.
6.3 Your platform accounts. You confirm you are entitled to connect any platform account or upload any report you provide, and you authorize us to access and use that data to provide the Service. We never ask for your platform password.
6.4 Other services. The Service relies on third-party providers for hosting, payments, email, AI and data. We choose them with care, but we do not control them and are not responsible for their outages, errors or changes beyond using reasonable efforts to work around them.
6.5 Links. Links to third-party sites are provided for convenience. We do not endorse them and are not responsible for their content or practices.
7. WHOLESALE DESK
7.1 What it is. The Wholesale Desk offers product lots that we source from wholesale suppliers for resale to Aucta users. Lots are sold by the seller of record named at checkout and on your receipt (see Section 3.3) and are shipped directly to you by the supplier.
7.2 Buying. When you buy through the Desk you enter a purchase contract with the seller of record. The price, shipping cost, handling time and return terms are shown on the listing, and sales tax is collected where required. All sales are final except as the listing states, as Section 7.3 provides, or as the law requires.
7.3 Our role and your remedy. We rely on our suppliers' descriptions and do not inspect lots before they ship. If a lot arrives damaged, materially different from the listing, short, or not at all, tell us at support@getaucta.com within seven (7) days of the delivery date (or the expected delivery date) with photos, and we will replace it or refund the price you paid including shipping. That replacement or refund is your sole remedy for a Desk order, and our total liability for any Desk order is limited to the amount you paid for it. We do not guarantee the resale value, demand or sell-through of anything bought through the Desk.
7.4 No circumvention. Do not use the Desk to find wholesalers and then transact with them outside the Desk to avoid our commission for twelve months after your first contact through the Desk.
7.5 Resale. Products bought through the Desk are for resale in your business. You are responsible for all taxes, licences and legal requirements that apply to buying and reselling them.
8. ACCEPTABLE USE
You agree not to use the Service to: (a) break any law, or sell counterfeit, stolen, recalled or prohibited goods; (b) upload content that infringes anyone's intellectual property, privacy or publicity rights; (c) upload malicious code or interfere with the Service, its infrastructure or other users; (d) impersonate anyone or misrepresent your affiliation; (e) harass, threaten or defame anyone; (f) generate or publish AI output that is deceptive, infringing or violates a platform's rules; (g) make false or misleading claims about products you sell; (h) present AI-generated or AI-edited images as photographs of the actual item you are selling, or otherwise misrepresent an item's condition, authenticity or grade; (i) use the Service in a way that imposes an unreasonable load on it, including rapid or scripted use of metered features beyond ordinary business use; or (j) help anyone else do any of these things. We may remove content, limit features or suspend accounts that we reasonably believe breach this Section.
9. INTELLECTUAL PROPERTY AND FEEDBACK
9.1 Ours. The Service, including its software, design, text, graphics, logos, the Aucta name, Market Data, AI prompts and models, and all improvements, is owned by CaptaFlow LLC or its licensors and is protected by intellectual-property law. These Terms give you no ownership and no rights beyond the licence in Section 2.1. The Aucta name and logo may not be used without our written permission.
9.2 Feedback. If you send us ideas, suggestions or feedback, we may use them freely without obligation or attribution, and you assign to us any rights in them.
9.3 Copyright complaints. If you believe content in the Service infringes your copyright, send a notice meeting the requirements of 17 U.S.C. § 512(c)(3) to our designated agent (Copyright Agent, CaptaFlow LLC, 6004 Lakehurst Dr, Baltimore, MD 21210, support@getaucta.com, U.S. Copyright Office designation DMCA-1082744). Our Copyright and DMCA Policy sets out what a notice must contain, the counter-notice process and our repeat-infringer rule, and is part of these Terms.
10. NO FINANCIAL, LEGAL OR EARNINGS ADVICE
10.1 No advice. The Service provides software, data and general educational content. Nothing in the Service, including the AI coach, comps, goals, pace trackers, profit figures and any training content, is financial, investment, legal, tax or accounting advice, and none of it is tailored to your circumstances. Consult a qualified professional before making decisions that depend on it.
10.2 No earnings guarantee. Selling products is a business with real risk. We make no promise that you will earn any particular amount, or any amount at all, by using the Service. Any figures, goals, examples or results shown in the Service, in our marketing, or by any Program or person associated with the Service are illustrations or the experiences of particular sellers and are not typical, guaranteed or representative of what you will achieve. Your results depend on your products, capital, effort, skill, market conditions and factors outside anyone's control, including the policies of the platforms you sell on.
10.3 Your decisions. You alone decide what to buy, at what price, what to list, and how to run your business. We are not responsible for losses from those decisions, including losses on inventory bought on the strength of a comp, estimate, listing on the Wholesale Desk or AI output.
11. DISCLAIMERS
THE SERVICE, INCLUDING ALL DATA, ESTIMATES, AI OUTPUT, THIRD-PARTY DATA AND WHOLESALE DESK LISTINGS, IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, CAPTAFLOW LLC AND ITS LICENSORS, SUPPLIERS AND PROGRAM PARTNERS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY AND COMPLETENESS. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, THAT ANY ESTIMATE, COMP, LOOKUP OR AI OUTPUT WILL BE ACCURATE, OR THAT ANY INTEGRATION WILL REMAIN AVAILABLE. WHERE APPLICABLE LAW REQUIRES A WARRANTY, IT IS LIMITED TO 90 DAYS FROM YOUR FIRST USE OF THE SERVICE.
12. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) CAPTAFLOW LLC, ITS MEMBERS, OFFICERS, CONTRACTORS, LICENSORS, SUPPLIERS AND PROGRAM PARTNERS WILL NOT BE LIABLE FOR ANY LOST PROFITS, LOST REVENUE, LOST DATA, LOSSES ON INVENTORY OR PURCHASES, COSTS OF SUBSTITUTE SERVICES, OR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY; AND (B) OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE IS CAPPED AT THE GREATER OF (i) $100 AND (ii) THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. MULTIPLE CLAIMS DO NOT INCREASE THIS CAP. THESE LIMITS ARE A FUNDAMENTAL PART OF THE BARGAIN AND APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
13. INDEMNIFICATION
You will defend, indemnify and hold harmless CaptaFlow LLC and its members, officers, contractors and Program partners from any third-party claim, and the reasonable costs and attorneys' fees of responding to it, arising out of (a) Your Content; (b) products you sell or list, including your resale of products bought through the Wholesale Desk; (c) your use of AI output; (d) your breach of these Terms or of any platform's rules; or (e) your violation of law. We may take over the defense of a claim at your expense; you will cooperate and will not settle a claim without our written consent.
14. SUSPENSION, CLOSURE AND TERMINATION
14.1 By you. You may close your account at any time in settings. Closing ends your plan at the end of the current cycle; Section 3.6 governs refunds.
14.2 By us. We may suspend or close your account, or limit features, if you breach these Terms, if your payment fails, if your Program membership ends, if we are required to by law or a platform, or if we reasonably believe your use creates risk for the Service, other users or us. Where practical we will tell you why and give you a chance to fix it. We may also end the Service as a whole on at least 60 days' notice, in which case Section 3.6 applies.
14.3 Effect. When your account is closed, your licence ends and Section 4.5 governs Your Content. Sections 3 (for amounts owed), 4.3, 4.5, 5, 9 through 13, 15 and 17 survive closure.
15. DISPUTE RESOLUTION AND ARBITRATION
Please read this Section carefully. It affects your legal rights, including your right to sue in court and to a jury trial.
15.1 Agreement to arbitrate. You and CaptaFlow LLC agree to resolve every dispute arising out of or relating to the Service, these Terms, or our relationship through binding individual arbitration rather than in court, except: (a) claims that qualify for small claims court, brought individually; and (b) requests for injunctive or equitable relief to protect intellectual property or to stop unauthorized use of the Service. This applies to claims that arose before you accepted these Terms.
15.2 Talk first. Before starting arbitration, the party with the dispute must send a written notice describing it and the relief sought to the other: to us at support@getaucta.com or CaptaFlow LLC, 6004 Lakehurst Dr, Baltimore, MD 21210; to you at the email on your account. The parties will try in good faith to resolve the dispute, including by a phone or video call if either asks, for 60 days before either starts arbitration.
15.3 Rules. Arbitration is administered by the American Arbitration Association under its Consumer Arbitration Rules, or its Commercial Arbitration Rules if the AAA determines those apply, available at www.adr.org, as modified by this Section. The arbitration is conducted by a single arbitrator, in English, by video or in the county where you live unless the parties agree otherwise. The arbitrator applies these Terms and Florida law, may award the same individual relief a court could, and must give a short written decision. Judgment on the award may be entered in any court with jurisdiction. The Federal Arbitration Act governs this Section.
15.4 Fees. Each party pays its own attorneys' fees unless the arbitrator finds a claim frivolous or brought for an improper purpose. Filing and arbitrator fees are allocated under the AAA rules; if those rules would require you to pay more than $250 in filing fees for a claim under $10,000, we will pay the balance.
15.5 Who decides what. The arbitrator decides all questions about the scope, enforceability and interpretation of this Section, except that a court decides challenges to the class waiver in 15.7 and disputes about which version of these Terms applies.
15.6 Jury waiver. BY AGREEING TO ARBITRATE, YOU AND WE EACH WAIVE THE RIGHT TO A JURY TRIAL.
15.7 Class waiver. ALL CLAIMS MUST BE BROUGHT INDIVIDUALLY. NEITHER YOU NOR WE MAY BRING OR JOIN A CLASS, COLLECTIVE OR REPRESENTATIVE PROCEEDING, AND THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OR AWARD RELIEF TO ANYONE BUT THE INDIVIDUAL CLAIMANT. If a court finds this waiver unenforceable for a particular claim, that claim will be decided in the courts named in Section 17.2 and all other claims remain in arbitration. This class waiver also applies to any claim heard in court rather than in arbitration, to the extent the law allows.
15.8 Coordinated filings. If 25 or more similar arbitration demands are filed against us within 60 days by the same or coordinated counsel, the AAA will administer them in batches of 25 with one arbitrator and one set of fees per batch, and the parties will cooperate on a process to resolve them efficiently, including bellwether proceedings if the arbitrator so orders.
15.9 Opt-out. You may opt out of this Section by emailing support@getaucta.com within 30 days after you first accept these Terms, with your name, the email on your account and a clear statement that you opt out of arbitration. Opting out does not affect any other part of these Terms.
15.10 Changes. If we change this Section after you accept these Terms, you may reject the change by emailing us within 30 days of the change; the previous version then continues to apply to you.
15.11 Severability. If any part of this Section is found unenforceable, it will be modified to the minimum extent needed and the rest remains in effect.
16. STATE-SPECIFIC NOTICES
16.1 California. California residents may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs at 1625 N. Market Blvd., Suite N112, Sacramento, CA 95834, or (800) 952-5210. The provider of the Service is CaptaFlow LLC, 6004 Lakehurst Dr, Baltimore, MD 21210, support@getaucta.com. California residents may have rights under the California Consumer Privacy Act described in our Privacy Policy. California residents who subscribe online may cancel online; see Section 3.5.
16.2 Other states. Residents of Colorado, Connecticut, Virginia, Texas, Oregon, Montana, Utah, Iowa, Indiana, Tennessee, Delaware, New Jersey, New Hampshire, Nebraska, Kentucky, Maryland, Minnesota, Rhode Island and other states with consumer privacy laws may have rights of access, correction, deletion, portability and opt-out described in our Privacy Policy. Nevada residents may direct us not to sell their covered information by emailing support@getaucta.com; we do not sell personal information.
16.3 Automatic renewal. Where state law requires it, we present renewal terms clearly before you subscribe, send you an acknowledgment, remind you before monthly or yearly renewals as the law requires, and let you cancel online.
17. GENERAL
17.1 Changes to these Terms. We may update these Terms. For material changes we will email the address on your account or post a prominent notice in the Service at least 14 days before they take effect, except that changes required by law or to add a new feature take effect on posting. Continuing to use the Service after a change takes effect means you accept it; if you do not, close your account before then.
17.2 Governing law and venue. These Terms are governed by the laws of the State of Florida without regard to its conflict-of-law rules. For any claim not subject to arbitration, you and we consent to the exclusive jurisdiction of the state and federal courts in Hillsborough County, Florida, except that either party may seek injunctive relief to protect intellectual property in any court with jurisdiction, and either may bring an individual small-claims action where it qualifies.
17.3 Electronic communications. You consent to receive notices, receipts and other communications from us electronically, by email to the address on your account or by notice in the Service, and agree that they satisfy any requirement for writing. Transactional emails are currently sent from the email.getaucta.app domain; we may change the sending domain at any time and will use a domain we control.
17.4 Export. You will not use or export the Service in violation of U.S. export laws or sanctions.
17.5 Accessibility. We aim to meet WCAG 2.1 Level AA. If you have difficulty using the Service, email support@getaucta.com and we will try to help.
17.6 Assignment. You may not assign these Terms or your account without our written consent. We may assign them to an affiliate or to a successor to the Service, including a newly formed entity that holds Aucta, on notice to you.
17.7 Entire agreement; miscellaneous. These Terms, the Privacy Policy, and any plan, pricing or feature terms presented in the Service are the entire agreement between you and us about the Service and replace any earlier agreement. If a provision is unenforceable it will be modified to the minimum extent necessary and the rest remains in effect. Our not enforcing a provision is not a waiver. "Including" means "including without limitation." Neither party is liable for delay caused by events beyond its reasonable control. Nothing in these Terms creates a partnership, agency or employment relationship.
17.8 Contact. CaptaFlow LLC d/b/a Aucta, 6004 Lakehurst Dr, Baltimore, MD 21210. All notices, including support, legal and copyright notices, privacy requests, disputes and arbitration opt-outs: support@getaucta.com.
17.9 Time limit on claims. To the extent the law allows, any claim arising out of these Terms or the Service must be brought within one (1) year after it arises, or it is permanently barred.
17.10 Interpretation. Headings are for convenience. If these Terms are translated, the English version controls. Nothing in these Terms gives rights to anyone other than you and us, except that our licensors, suppliers and Program partners may rely on the disclaimers, limitations and indemnities that mention them.
